1. Agreement to Terms

By accessing or using the Rayon Media website (rayonmedia.com) or engaging our services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our website or services.

2. Services

Rayon Media provides digital marketing services including but not limited to website design, local SEO, paid advertising management, content creation, AI video production, and lead generation systems. Specific services, deliverables, timelines, and fees will be outlined in a separate written agreement or proposal between Rayon Media and the client.

3. Payment Terms

Payment terms are defined in the individual service agreement. Generally:

• Website projects require a deposit before work begins, with the balance due upon completion
• Monthly retainer services are billed in advance at the start of each billing period
• Ad spend is separate from management fees and is paid directly to the ad platforms
• Invoices are due within 7 days of issuance unless otherwise agreed in writing
• Late payments may result in a pause of services

4. Intellectual Property

Upon receipt of full payment, clients receive full ownership rights to custom website designs and original written content created specifically for them. Rayon Media retains the right to display work in our portfolio unless otherwise agreed in writing.

Third-party assets (stock images, licensed fonts, software tools) remain subject to their respective license terms and are not transferred to the client.

5. Client Responsibilities

Clients are responsible for:

• Providing accurate information about their business, services, and target customers
• Timely review and feedback on deliverables
• Maintaining access credentials for platforms we manage on their behalf
• Ensuring all content, images, and information provided to us does not infringe on third-party rights
• Paying any required ad platform fees, domain fees, or hosting costs

6. Results and Performance

Rayon Media provides marketing services based on best practices and industry expertise. While we are committed to delivering quality work, we do not guarantee specific results such as a defined number of leads, rankings, or revenue increases, as outcomes depend on factors outside our control including market conditions, competition, and ad platform algorithms.

7. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive business information shared during the course of the engagement. This includes but is not limited to pricing strategies, customer lists, unreleased products, and campaign performance data.

8. Termination

Either party may terminate ongoing services with 30 days written notice. Upon termination:

• All outstanding invoices become immediately due
• Rayon Media will transfer all relevant assets, logins, and files to the client within 10 business days
• Prepaid retainer fees for the current period are non-refundable

9. Limitation of Liability

Rayon Media's total liability for any claim arising from our services shall not exceed the total fees paid by the client in the three months prior to the claim. We are not liable for indirect, incidental, or consequential damages including lost revenue or data.

10. Website Use

By using this website, you agree not to:

• Use the site for any unlawful purpose
• Attempt to gain unauthorized access to any part of the site or its systems
• Reproduce or distribute any site content without written permission

11. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the State of California. Any disputes shall be resolved in the courts of San Bernardino County, California.

12. Changes to Terms

We reserve the right to update these Terms at any time. Changes will be posted on this page with an updated date. Continued use of the site or our services constitutes acceptance of the updated terms.
